These Terms and Conditions ("Terms and Conditions") constitute a binding agreement between SparkOn and any individual who (i) uses our website, including all subpages and related sites ("Website"), and/or the SparkOn mobile or web application, which is accessible via browser on mobile phones, tablets, and computers ("App") (collectively, "SparkOn"), (ii) downloads SparkOn software ("SparkOn Software"), and/or (iii) accesses, uses, or purchases any products or services offered in the App ("you", "user").


1. Acceptance of these Terms

Please read these Terms and Conditions carefully before using SparkOn.

By downloading the SparkOn App, or by accessing, using, or purchasing any products or services through SparkOn, you confirm that you have read, understood, and agree to be bound by:

(i) these Terms and Conditions,
(ii) our Privacy Policy, and
(iii) any additional terms presented to you when you purchase particular features, products, or services within SparkOn
(collectively, the "Agreement").

You acknowledge that access to SparkOn may depend on the third-party platform from which you obtained the App (for example, Google Play or the Apple App Store, each an "App Store"). The Agreement is solely between you and us, and not with any App Store. Each App Store may have its own terms that you must accept before using SparkOn.

If you do not agree to all provisions of the Agreement and any applicable App Store terms, you must not use, access, or purchase any services via SparkOn.


2. Changes to the Agreement

We may revise, update, supplement, or remove parts of the Agreement at any time at our discretion ("Modifications").

If a Modification materially affects your rights or obligations, we will notify you at least ten (10) days in advance by:

(i) sending an email to the most recent email address you provided to us, and
(ii) posting a notice within SparkOn.

If, for any reason, the email cannot be delivered to you, the message will still be considered valid notice of the change.

For non-material changes, we may simply post an updated version of the Agreement in SparkOn.

You are responsible for keeping your email address up to date and for reviewing the Agreement periodically. By continuing to access or use SparkOn after email notice is sent or an update is posted in SparkOn, you accept and agree to the revised terms. Unless a different effective date is specified, changes will take effect ten (10) days after the email is sent or the notice is posted.


3. Eligibility

Subject to applicable law, SparkOn is not available to, and may not be used by, any person who:

To use SparkOn, you must have a compatible device and internet connection. We do not represent or warrant that SparkOn will be compatible with your particular device.

Section 230(d) Notice: Pursuant to 47 U.S.C. ยง 230(d), you are notified that commercially available parental control tools (hardware, software, or filtering services) may help limit access to content that is harmful to minors. Information about such tools is available online, for example by searching for "parental control protection".


4. License and Intellectual Property Rights

We, together with our subsidiaries and affiliates, own all rights, title, and interest in and to all inventions, concepts, discoveries, trademarks, logos, domain names, designs, methods, trade secrets, know-how, databases, software, work products, and any other materials, including all associated intellectual property rights (such as patents, copyrights, trademarks, design rights, registrations, and applications), whether registrable or not, and whether currently existing or later developed, relating to SparkOn (collectively, the "Materials").

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, worldwide, royalty-bearing, revocable, non-transferable, and non-sublicensable license to access and use the Materials solely for your personal, non-commercial use ("License").

Except as expressly permitted in this Agreement or with our prior written consent, you must not:

Any open-source or third-party components integrated into the Materials are governed by their own end-user or open-source licenses. Nothing in this Agreement limits or supersedes any rights you may have under those licenses.

The name SparkOn, our logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SparkOn or its affiliates or licensors. You must not use such marks without our prior written consent. All other names, logos, product or service names, designs, and slogans displayed in the Website or Materials belong to their respective owners.


5. Your Account and Interactions with Other Users

If you create an account or purchase in-app products or services via SparkOn, you represent and warrant that:

(i) all information you submit during registration and use is truthful, accurate, and complete; and
(ii) you will keep such information accurate and up to date.

If you identify any inaccuracies in your personal data and notify us via the contact methods set out in the Privacy Policy, we will take steps to correct such data and, where applicable, inform relevant data recipients. Additional information on this process is provided in our Privacy Policy.

You are solely responsible for maintaining the confidentiality of your login credentials and for protecting access to your devices. You are responsible for all activity that occurs under your account. If you suspect any unauthorized use of your account or any other security incident, you must notify us without undue delay. You must not share your login credentials (including usernames and passwords) with any third party.

You are solely responsible for your interactions with other users. You acknowledge that we do not perform criminal background checks on users and do not systematically verify users' backgrounds.

To the extent permitted by applicable law, you agree that SparkOn will not be liable for any loss or damage arising from (i) your failure to comply with these responsibilities and/or (ii) your interactions with other users. 7. User Submissions and Content

SparkOn may allow you to submit content such as personal ads, profile information, and chat messages (collectively, "User Submissions"), which may be shared or made visible to others. Submitting User Submissions is voluntary and is subject to our Privacy Policy. You are solely responsible for your User Submissions and any consequences of posting or sharing them.

By submitting any content, you represent and warrant that:

To the fullest extent permitted by law, SparkOn assumes no responsibility or liability for User Submissions and does not undertake an obligation to monitor them. We reserve the right, but are not obligated, to:

You retain ownership of your intellectual property rights in your User Submissions. However, by submitting content to SparkOn, you grant us an irrevocable, worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from your User Submissions in connection with SparkOn and other services we operate. You also agree, to the extent permitted by law, to waive any moral rights you may have in such content.

SparkOn may process and transfer anonymized textual User Submissions solely for purposes such as content moderation, scam detection, and fraud prevention, not for commercial exploitation. Data is anonymized and protected with appropriate security measures. Additional information about data sharing with anti-fraud partners is set out in our Privacy Policy.

To promote safety and legal compliance, we use automated systems to review images shared in chats for potentially explicit content. This may include blurring such images to avoid non-consensual viewing. You may choose to view blurred content by explicitly clicking on it. These images are processed in an anonymized and secure manner.

If you provide comments, suggestions, or other feedback about SparkOn ("Feedback"), you assign to us all rights in such Feedback and agree that we may use it for any purpose without restriction or obligation to compensate you. Feedback is deemed non-confidential and non-proprietary.

We and our licensees may display advertisements near or in connection with your User Submissions or Feedback. You are not entitled to any compensation for such advertising.


8. Subscriptions, Cancellations, Payments, and Virtual Goods

Access to all features of SparkOn may require a paid subscription. Before any charge is made, you will be informed of the applicable price and duration of the selected subscription or paid service. From time to time, we may offer free or discounted access to SparkOn at our sole discretion.

Subscriptions automatically renew for the same period as the initial term unless you cancel them. All fees are final and non-refundable once charged, except where refunds are required by applicable law. Details of any special offers, discounts, or promotions will be displayed on the payment page. We may modify or withdraw such offers at any time.

If you benefit from promotional pricing during a subscription, that pricing may be temporary or indefinite. Once you cancel and later re-subscribe, standard rates may apply.

If you choose recurring billing, you may cancel your subscription at any time by turning off auto-renewal in the settings of the App or web interface. Cancellation takes effect at the end of the current billing period, and you will not receive a refund for any remaining time. Deleting the App or your account does not automatically cancel your subscription.

If your account or access to SparkOn is suspended or terminated due to a breach of the Agreement, you are not entitled to a refund for any used or unused portion of your subscription.

SparkOn may also offer in-app purchases of virtual items, credits, or other digital content ("Virtual Goods"). Virtual Goods are licensed, not sold, and have no real-world monetary value. They are non-refundable, non-transferable (except as permitted in the App), and may be modified, limited, or discontinued at any time by us. No refunds will be given for unused or removed Virtual Goods, including when you terminate or lose access to your account.

SparkOn is not responsible for canceling your subscription with any payment provider or platform when your account is terminated. You remain responsible for managing and canceling your subscriptions to avoid further charges.

Certain subscription plans may be tailored to different genders or user groups to provide customized experiences and services.

If you purchase subscriptions or other services through Apple or Google, billing and refund processes are governed by the relevant platform's terms and policies. Please refer to the applicable rules of:

b. Purchases via the Website

For purchases made directly through our Website, charges will be made to your registered bank account or authorized payment method and may be stored for automatic renewals according to your subscription plan.

9. Third-Party Websites, Products, and Services

SparkOn may contain links or access to third-party websites, applications, products, or services ("Third-Party Websites"). We do not endorse or control any Third-Party Websites and make no representations or warranties regarding any information, content, products, or services available there. Your use of Third-Party Websites is at your own risk.

Any dealings, communication, or transactions between you and any advertiser or other third party found through SparkOn are solely between you and that third party. We are not responsible for any loss or damage resulting from such dealings.

Other parties may offer products or services via SparkOn. We do not systematically evaluate or endorse these offerings and assume no responsibility for any acts, omissions, or content of such third parties. You should carefully review their terms of service and privacy policies.

If you choose to use applications or services that interoperate with SparkOn ("Third-Party Applications"), you acknowledge that we may transmit User Submissions or related data to such Third-Party Applications as needed. Submitting content to SparkOn is voluntary, and we are not responsible for the transmission, storage, or use of User Submissions by Third-Party Applications or Websites. Your use of Third-Party Websites or Applications is at your own risk and on an "as-is" basis.


10. Changes to SparkOn, Termination, and Appeals

You understand and agree that we may update SparkOn from time to time, which may include adding, modifying, or removing features. By using SparkOn, you consent to these updates and to the automatic installation of such updates on your device. The Agreement also applies to all updates and new versions of SparkOn. We will not be liable for any consequences resulting from changes or updates.

If we reasonably believe that you have violated the Agreement or any applicable law, we may, at our sole discretion and without prior notice:

You acknowledge that we will not be liable to you for any loss or damage arising from such suspension or termination.

If your license or access to SparkOn is revoked due to failure to meet our minimum age requirements and you believe this is incorrect, you may appeal the decision by contacting Customer Support at [email protected] or through the in-App appeal mechanism. You may be required to verify your age by providing a photo and an identification document showing your date of birth. Further information on this process is given in our Privacy Policy.

You may terminate your account at any time by canceling your subscription as described in Section 8 and deleting your account in the Settings section under "My Account/ID".


11. Disclaimers

SparkOn (together with any third-party software, services, or applications provided in connection with it) is provided on an "as is" and "as available" basis.

To the fullest extent permitted by applicable law, we disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including, without limitation, any implied warranties of satisfactory quality, merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the foregoing, and to the maximum extent allowed by law, we and our suppliers and partners do not warrant that:

You are solely responsible for any costs associated with devices, data plans, or services required to access SparkOn. Any content or data obtained through SparkOn is accessed at your own discretion and risk.

Any content produced by AI-driven chatbots within SparkOn does not represent the views or commitments of SparkOn and is not legally binding. Such chatbots are not authorized to create, amend, or enter into agreements on behalf of SparkOn. Their output is algorithmically generated and may be inaccurate. You should exercise caution before relying on such content, especially where legal, financial, or other significant consequences may arise.


12. Limitation of Liability

To the maximum extent permitted by law, SparkOn and its affiliates, subsidiaries, employees, contractors, agents, suppliers, and third-party service providers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages (including, without limitation, loss of profits, goodwill, data, or other intangible losses) arising out of or relating to:

To the extent permitted by law, our total aggregate liability to you (together with that of our affiliates, subsidiaries, employees, contractors, agents, suppliers, and third-party service providers) for any and all claims arising out of or related to the Agreement or your use of SparkOn, whether based in contract, tort, strict liability, warranty, or otherwise, shall not exceed the total amount you have paid to access SparkOn in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in this Agreement excludes or limits any liability that cannot be excluded or limited under applicable law.


13. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless SparkOn and its affiliates, subsidiaries, employees, contractors, agents, and third-party service providers from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to:

We reserve the right, at your expense, to assume the exclusive defense and control of any matter that is subject to indemnification by you, and you agree to cooperate fully in our defense of such claims.


14. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, in whole or in part, under any applicable law, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. The invalid or unenforceable portion will be deemed amended to achieve a result as close as possible to the parties' original intent.


15. Waiver

A waiver of any provision or right under this Agreement will be effective only if it is made in writing and signed by the party granting the waiver. A party's failure to enforce any provision of this Agreement at any time shall not be construed as a waiver of that provision or of the right to enforce it at a later time. A waiver of any breach shall not be deemed a waiver of any subsequent breach of the same or any other provision.


16. Assignment

You may not assign, delegate, or transfer any of your rights or obligations under this Agreement without our prior written consent. We may assign or transfer some or all of our rights and obligations under this Agreement to any affiliate or in connection with a merger, acquisition, restructuring, or sale of assets, without notice or your consent.


17. Governing Law

This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict-of-law principles.

The primary purpose of this Agreement is the provision of services and access to intellectual property, and it is not intended to constitute a "sale of goods." Accordingly, the Uniform Commercial Code (UCC) and the United Nations Convention on Contracts for the International Sale of Goods are expressly excluded and do not apply.


18. Jurisdiction

To the fullest extent permitted by law, any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in the jurisdiction of our registered office. You consent to the personal jurisdiction of such courts and waive any objections based on improper venue or forum non conveniens.
